MGEN Renewables Inc. (MGENR) is moving to consolidate its
renewable energy portfolio through a ₱4.98-billion share swap with its
affiliate, a transaction expected to strengthen its position as the listed
renewable energy investment platform of Meralco PowerGen Corp. (MGEN).
The deal could pave the way for a return to the capital
markets as early as the first quarter of 2027, allowing the company to pursue
additional funding for its expanding portfolio.
Formerly known as SP New Energy Corp., MGENR will issue
approximately 3.11 billion new shares to MGEN Renewable Energy Inc. at ₱1.60
per share. In return, it will acquire stakes in five companies: Greenergy for
Global Inc., Greentech Solar Energy Inc., CACI Power Corp., Nuevo Solar Energy
Corp. and PowerSource First Bulacan Solar Inc.
MGENR's board approved the proposed transaction on Oct. 27.
The agreed share price represents a 30.08% premium over the company's closing
price of ₱1.23 on Oct. 23.
Beyond the immediate expansion of its asset base, the
consolidation is designed to improve MGENR's earnings profile by bringing
additional operating assets and their revenue streams under one listed company.
In effect, the transaction would consolidate several investments into a single
platform, potentially giving investors a clearer view of the group's renewable
energy business.
MGEN President and CEO Emmanuel Rubio previously said the
group was preparing to combine the two companies, with MGENR remaining as the
surviving entity. The consolidation is also intended to improve the company's
attractiveness to institutional investors ahead of future fundraising.
A potential re-initial public offering, or re-IPO, would
allow MGENR to issue additional shares to raise fresh capital. Unlike a
conventional initial public offering, which introduces a company's shares to
public investors for the first time, a re-IPO involves a company that is
already publicly listed.
Separately, Terra Solar Philippines Inc. (TSPI), a
majority-owned MGENR subsidiary, is pursuing up to ₱7.82 billion in additional
financing to support its operations and project development.
Under the proposed arrangement, Terra Nueva Inc., a wholly
owned subsidiary of MGENR, plans to subscribe to TSPI common shares priced at
₱50 each and Class A preferred shares at ₱75 each. The transaction remains
subject to approval from TSPI's lenders and Actis, the UK-based investment firm
that partnered with MGENR in the project.
The funding is tied to the development of the ₱200-billion
MTerra Solar project in Central Luzon. The undertaking is planned as a
large-scale integrated solar generation and battery storage facility, with the
potential to rank among the world's largest of its kind.
Together, the proposed share swap and additional project financing highlight MGEN's strategy of consolidating its renewable energy investments while securing capital for major infrastructure development. The success of these plans will depend on the completion of the transactions, required approvals and the company's ability to attract investors as it prepares for its next stage of growth.
